Usage Regulations

CRL Inc. (hereinafter referred to as the "Company") makes these Regulations in respect of the use of the web proofreading service operated by the Company as follows.

Scope and Amendment of these Regulations

  1. These Regulations shall apply to the Company and the users (which mean any ordering persons = clients = customers who order the English text revision work through the web proofreading service and any editors = members of staff who undertake the English text revision work (hereinafter collectively referred to as the "Users"), and the Users shall faithfully comply with these Regulations.
  2. The Company may amend these Regulations at its sole discretion and without requiring the approval of the Users. In this case, the usage conditions of the web proofreading service shall be based on the Usage Regulations so amended. Such amendment shall come into effect at the time that the Company gives notice thereof by e-mail, by posting it on the web proofreading service or by other means that the company deems appropriate. Even if the amendment to these Regulations causes any disadvantage or damage to the Users, the Company shall not be in any way liable therefor.

Status of the Users and Restrictions

  1. Status of the Users
    By using the web proofreading service, the Users shall be deemed to agree to these Regulations, and the Users shall thereupon obtain the status of a user of the web proofreading service. The Users shall be liable to keep their respective IDs and passwords in confidence. In addition, the Users shall be liable for all acts performed by using the passwords and IDs.
  2. Restrictions Imposed on the Users
    The Users shall not perform the acts set out below, and the Company reserves the right to at its sole discretion determine whether to refuse, edit, transfer or delete any offered English text revision work and take the actions so determined.
    • Acts which infringe or are likely to infringe upon any property, privacy or the like of any third parties or the Company.
    • Acts which cause or are likely to cause any disadvantage or damage to any third parties or the Company.
    • Acts which interfere with the operation of or are likely to hinder the operation of the web proofreading service.
    • Acts which are contrary to or are likely to be contrary to the public policy or good morals, or acts which violate or are likely to violate any of the laws, ordinances and regulations.
    • Business activities or acts for making profits using the web proofreading service, or acts which are intended to prepare such business activities or acts.
    • Acts which injure the honor or reputation of any third parties or the Company.
    • Acts which use or provide or are likely to use or provide any harmful programs including but not limited to computer viruses.
    • Any other acts that the Company deems inappropriate.

Rights and Exemption from Liability of the Company

  1. The Company makes no warranty in respect of any and all matters of the web proofreading service including but not limited to the accuracy, up-to-dateness or usefulness of any information through the web proofreading service, punctual delivery on the specified dates or legality of the results of English text revision work. Further, the Company makes no warranty in respect of whether the contents of explanation of offered English text revision work are reliable or whether the English text editor (or the member of staff) who undertook the offered English text revision work is capable of accomplishing the English text revision work.
  2. The Company may, at its discretion, add, amend, modify or delete any information published on the web proofreading service without giving prior notice to the Users. In no event shall the Company be liable for any damages incurred by the Users resulting from addition, amendment, modification, deletion or other processing of any information on the web proofreading service.
  3. The Company reserves the right to at its sole discretion temporarily suspend or stop all or any of the web proofreading service without giving prior notice to the Users. The Company shall not be in any way liable for any damages incurred by the Users or third parties resulting from amendment, suspension, discontinuance, stoppage or abolition of the web proofreading service or otherwise arising in connection with the web proofreading service.
  4. If a User causes any damage to a third party resulting from his or her use of the web proofreading service, the User shall recover the damage at his or her responsibility and expenses, and the User shall hold the Company harmless therefrom. If the User causes any damage to the Company resulting from his or her act contrary to these Regulations or wrongful or illegal act, the Company may demand that the User shall make compensation for damages to the reasonable extent.

Governing Law and Court of Jurisdiction

  1. The laws of Japan shall apply in respect of the formation, validity, performance and interpretation of these Regulations.
  2. If any dispute arises in respect of these Regulations, it shall be brought in the Mito District Court which is the court having exclusive jurisdiction for the first instance.
